1. Acceptance of Terms

By accessing or using the OLT platform, you confirm that you are at least 18 years of age, have read and understood these Terms, and agree to be bound by them and all applicable laws and regulations. If you do not agree to these Terms, you may not use the platform. If you are using the platform on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Platform Services

OLT provides a free digital memorial platform that allows users to create and share obituaries, memorial pages, photographs, and celebration of life content. The platform also facilitates optional floral and gift purchases through partnerships with local independent vendors.

OLT is not a funeral home, cemetery operator, grief counseling provider, florist, or event management company. Core memorial services are provided free of charge. OLT generates revenue through commercial partnerships and e-commerce facilitation, as described in our Vendor Disclaimer and Commercial Relationship Disclosure.

3. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate and current information when creating an account and to notify OLT promptly at hello@ourlegacythread.com if you become aware of any unauthorized use of your account. OLT reserves the right to refuse registration or cancel accounts at its discretion.

4. User-Generated Content

You are solely responsible for all memorial content, photographs, videos, tributes, event details, and other materials you submit to the platform ("User Content"). By submitting User Content, you represent that you own or have the necessary rights to submit that content, and you grant OLT a non-exclusive, royalty-free, worldwide license to host, display, and distribute your User Content solely for the purpose of operating the platform and providing services to you.

You may not submit content that: (a) infringes any third-party intellectual property, privacy, or publicity rights; (b) is false, defamatory, harassing, obscene, or hateful; (c) contains malware, spam, or unauthorized advertising; (d) violates any applicable law; or (e) is inappropriate given the memorial nature of the platform. OLT is not responsible for User Content submitted by others and does not independently verify obituary content, dates, relationships, or event details.

5. Content Moderation

OLT reserves the right, but not the obligation, to review, remove, restrict, edit, or refuse any User Content at its sole discretion and without prior notice, including content that violates these Terms or that OLT determines is inconsistent with the respectful, memorial nature of the platform. OLT's content moderation decisions are final. Pursuant to Section 230 of the Communications Decency Act, OLT is not liable for User Content posted by third parties.

6. Commercial Relationship Disclosure

OLT earns a commission on sales when users purchase floral arrangements or other products through the platform. Vendor and product placements on the platform reflect commercial partnership relationships, not independent editorial recommendations. Users are under no obligation to make any purchase. Full details are provided in OLT's Vendor Disclaimer and Commercial Relationship Disclosure, which is incorporated into these Terms by reference.

7. Vendor Disclaimer

All florists and vendors featured through the platform are independent third-party businesses and are not employees, agents, or representatives of OLT. OLT does not guarantee vendor availability, pricing, delivery timeliness, product quality, or order fulfillment. Disputes regarding a specific vendor transaction should be directed first to the vendor. OLT will make reasonable efforts to assist in resolution but bears no liability for vendor performance.

8. Payments

Payment processing services for floral and product purchases are provided by Stripe or another PCI-DSS-compliant third-party processor. OLT does not collect, store, or have access to complete payment card numbers or CVV codes. By completing a purchase, you agree to the applicable processor's terms of service.

All sales are final unless otherwise stated by the fulfilling vendor. OLT is not responsible for refunds, chargebacks, or payment disputes, which must be resolved directly with the payment processor or vendor. In the event of a failed, incomplete, or unsatisfactory floral delivery, users should contact the fulfilling vendor directly; OLT will make reasonable efforts to assist in facilitating resolution upon request to hello@ourlegacythread.com.

9. Intellectual Property

OLT owns all rights, title, and interest in and to the platform, including its branding, design, software, code, proprietary features, and all content created by OLT (collectively, "OLT Content"). You may not copy, modify, distribute, sell, or create derivative works from OLT Content without prior written permission. Nothing in these Terms transfers any OLT intellectual property rights to you. Your User Content remains yours, subject to the license granted in Section 4.

10. Privacy

Your use of the platform is also governed by OLT's Privacy Policy, which is incorporated into these Terms by reference. By using the platform, you consent to the data practices described in the Privacy Policy. OLT does not sell or share your personal information for advertising purposes.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OLT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR EMOTIONAL DISTRESS, REPUTATIONAL HARM, LOSS OF DATA, OR LOSS OF REVENUE, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PLATFORM, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY.

OLT's total cumulative liability to you for any claims unrelated to a vendor transaction shall not exceed one hundred dollars ($100.00). For claims arising from a vendor transaction, OLT's total liability shall not exceed the commission received by OLT in connection with that specific transaction. Some states do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you.

12. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. OLT DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

13. Termination

OLT may suspend or terminate your access to the platform at any time, with or without cause or notice, including for violation of these Terms. Upon termination, your right to use the platform ceases immediately. OLT may retain your User Content after termination as necessary to fulfill legal obligations or honor the requests of other users who have accessed public memorial pages. Sections 4, 6, 9, 11, 12, 14, 15, and 18 of these Terms survive termination.

14. Dispute Resolution

You agree to contact OLT at hello@ourlegacythread.com before initiating any formal legal proceeding, and to make a good-faith effort to resolve any dispute informally within 30 days. If a dispute cannot be resolved informally, it shall be resolved through binding arbitration administered under the rules of the American Arbitration Association (AAA), conducted in English, with a single arbitrator. The arbitration shall take place in New Mexico or, at your election, via videoconference.

YOU WAIVE ANY RIGHT TO A JURY TRIAL OR TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. Nothing in this section prevents either party from seeking emergency injunctive relief in a court of competent jurisdiction. Notwithstanding the foregoing, you retain any non-waivable rights provided under applicable consumer protection laws in your state of residence.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New Mexico, without regard to conflict of law principles. To the extent any dispute is not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in New Mexico.

16. Changes to These Terms

OLT may update these Terms from time to time. When we make material changes, we will update the "Last Updated" date and, where required by law, provide notice by email or prominent platform notice. Your continued use of the platform after any update constitutes acceptance of the revised Terms.

17. Severability and Entire Agreement

If any provision of these Terms is found invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect. These Terms, together with the Privacy Policy and Vendor Disclaimer, constitute the entire agreement between you and OLT regarding your use of the platform.

18. DMCA Copyright Policy

OLT respects the intellectual property rights of others and complies with the Digital Millennium Copyright Act (DMCA). If you believe that content posted on the platform infringes your copyright, please send a written notice to our designated agent containing: (a) a physical or electronic signature of the copyright owner; (b) identification of the copyrighted work; (c) identification of the infringing material and its location; (d) your contact information; (e) a good-faith belief statement; and (f) a statement under penalty of perjury that the information is accurate.

DMCA notices should be submitted to: hello@ourlegacythread.com (Subject: DMCA Notice). OLT will respond to valid notices by removing or disabling access to the allegedly infringing content. Users who repeatedly infringe third-party copyrights may have their accounts terminated.
